Terms of Service

These Terms of Service ("Terms") govern your use of the GremlinStudio desktop application ("the App"), the website at gremlinstudio.net ("the Website"), and all related services (collectively, "the Service") provided by GremlinStudio ("we", "us", "our"). By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By downloading, installing, or using GremlinStudio, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

GremlinStudio is a desktop integrated development environment (IDE) for Azure Cosmos DB graph databases. The App runs locally on your computer and connects directly to your database instances using credentials you provide. We do not host, proxy, or have access to your databases or data.

3. Accounts and Registration

GremlinStudio does not require account creation. A valid license key is required after the free trial period. License keys are delivered to the email address used during purchase and are activated locally within the App.

4. Free Trial

GremlinStudio offers a 7-day free trial that begins on first launch of the App. During the trial, all Pro-tier features are available with no restrictions. When the trial expires:

  • The App will display an activation screen requiring a valid license key.
  • All your data, connections, query history, and settings are preserved.
  • Access resumes immediately upon entering a valid license key.

The trial is limited to one per machine. Manipulating system clocks or application files to extend the trial period is a violation of these Terms.

5. Subscriptions and Payment

5.1 Plans

GremlinStudio is available in the following subscription tiers:

  • Starter ($5/month): Up to 5 connections, core editor and visualization features.
  • Pro ($9.99/month or $99/year): Up to 10 connections, all features including AI queries, debugger, query diff, templates, and Azure resource discovery.
  • Team: Custom pricing for organizations. Contact us for details.

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorize us to charge your payment method at the beginning of each billing cycle. All prices are in US Dollars unless otherwise stated.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. Upon renewal, a new license key is generated and delivered to your email.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the App for the remainder of the period you have already paid for. After that, the App will lock to the activation screen until a new license key is entered.

5.5 Refunds

We offer a 30-day money-back guarantee. If GremlinStudio is not right for you, contact us within 30 days of your initial purchase for a full refund. Refunds for renewal payments are evaluated on a case-by-case basis. Contact info@gremlinstudio.net to request a refund.

5.6 Price Changes

We reserve the right to change subscription prices. Existing subscribers will be notified at least 30 days before any price increase takes effect. Price changes will apply at the start of the next billing cycle following the notice period.

6. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your internal business or personal purposes. The full license terms are set out in our End-User License Agreement.

7. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
  • Modify, adapt, translate, or create derivative works based on the App.
  • Redistribute, sublicense, rent, lease, or lend the App or your license key to any third party.
  • Share your license key with other users or publish it publicly.
  • Remove, alter, or obscure any proprietary notices in the App.
  • Use the App to infringe any third-party rights or violate any applicable laws.
  • Attempt to circumvent the license verification system, trial limitations, or feature gates.
  • Use automated means to access the Website in a manner that burdens our infrastructure.

8. Your Data

You own your data. GremlinStudio does not claim any ownership or rights over your queries, graph data, connection configurations, style rules, or any other content you create or manage using the App.

The App stores all data locally on your machine. You are responsible for maintaining backups of your local data. We are not liable for data loss resulting from hardware failure, uninstallation, or any other cause.

9. Third-Party Services

The App connects directly to third-party services you configure, including Azure Cosmos DB and OpenAI/Azure OpenAI. Your use of these services is governed by their respective terms and conditions. We are not responsible for the availability, accuracy, or performance of third-party services.

Payment processing is provided by Stripe. Your use of Stripe is subject to Stripe's terms of service.

10. Intellectual Property

The App, Website, documentation, and all related materials are protected by copyright, trademark, and other intellectual property laws. We retain all rights, title, and interest in and to the Service, including all intellectual property rights. These Terms do not grant you any rights to use our trademarks, logos, or brand features without prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.

We do not warrant that the App will be error-free, uninterrupted, or free of vulnerabilities. The App is a development tool, and you are responsible for validating any queries or operations before executing them against production databases.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GREMLINSTUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR DAMAGE TO DATABASES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless GremlinStudio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service if you violate these Terms. Upon termination:

  • Your license key will be deactivated.
  • You must cease all use of the App.
  • Your locally stored data remains on your machine and is not affected.

You may terminate your use at any time by uninstalling the App and cancelling your subscription.

15. Updates and Modifications

We may release updates to the App from time to time. Updates are not automatic; you choose when to download and install new versions. We reserve the right to modify features, add or remove functionality, or discontinue the Service. If we discontinue the Service, we will provide at least 60 days' notice and pro-rated refunds for unused subscription time.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GremlinStudio operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of that jurisdiction.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and License Agreement, constitute the entire agreement between you and GremlinStudio regarding your use of the Service.

19. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email (for subscribers) or by posting a notice on the Website. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
